This Privacy Notice sets out how we, Teleflex Incorporated, 550 E. Swedesford Road Suite 400 Wayne, PA 19087-1603, USA and our affiliated companies, collect, use, disclose, and otherwise process personal data that you (i) provide to us when you use or visit our websites that have posted this Privacy Notice (the Sites), (ii) when you provide information to us in the context of your business relationship with Teleflex as a client or supplier, or (iii) when your personal data is supplied to us by your employer who is a client or supplier of Teleflex.

1. Information We May Collect From You

This Privacy Notice applies to you, whether you are a visitor to our Site, client, supplier, or an employee of a client or supplier. It also applies to third parties whose information you provide to us in connection with our relationship with you. We collect personal data that you provide directly to us (online through our Sites, or through other communication channels) as well as information your devices provide to us automatically.

In the course of providing medical technologies, we collect and process the following personal data about you:

  • Your name, postal address, email address, telephone number, and/or any other information that you provide to us by filling in forms on our Sites or otherwise
  • Your Internet Protocol (IP) adress
  • Your domain name
  • Your browser type
  • Your referring URL
  • The webpages you viewed on our Sites
  • Time and date of your visit, the number of times you return to our site, and other click-stream data
  • Information including if you or your device reports a problem with our Site
  • Your name, contact details, job description, and any other information included in a contract between Teleflex and you or your employer
  • Personal data which you or your employer provides to us when you or your employer supplies or purchases products and/or services
  • Information that we notify you of or obtain your consent

2. Purpose and Legal Basis for Processing Your Personal Data

Certain laws, including the EU General Data Protection Regulation (“GDPR”), require that we inform you of the legal bases and purposes for our processing of your personal information. Pursuant to the GDPR (and other similar laws), we process personal information for the following purposes and legal bases:

We have carried out a balancing test to ensure that your interests are not overridden by this legitimate interest.

Where required by applicable law, we obtain your consent for such processing.

  • To comply with requirements of regulatory agencies such as the United States Food and Drug Administration (FDA), the European Medicines Agency (EMA) and Medical Technology Associations, if necessary.

If applicable, the use of personal data, such as name or contact information, is necessary for compliance with a legal obligation to which Teleflex is subject, or necessary for our legitimate business interest in complying with regulatory requirements which are not relevant legal obligations for the purposes of data protection laws.

Where required by applicable law, we obtain your consent for such processing.

  • For products and claims administration.
  • To provide you with information in relation to our business relationship.
  • To notify you about changes to our business arrangement.
  • To fulfill the business arrangement between us and your employer.
  • To complete and contribute to any audits.

If applicable, this use of your personal data, such as name or contact information, is necessary for our legitimate business interest in managing our business including legal, personnel, administrative and management purposes and for the prevention and detection of crime. We have carried out a balancing test to ensure that your interests are not overridden by this legitimate interest.

Your consent, which can be withdrawn at any time.

We may, from time to time ask for your consent to use your personal data for a specific purpose. If this consent is given, it can be withdrawn at any time.

3. Cookies and Other Technologies

When browsing the Sites, our servers collect certain information, such as your IP address, domain name, browser type, pages viewed and the time you visited our Sites, the number of times you return to our Sites and other click-stream data. This information may be compiled and/or analyzed by us on an aggregated basis to measure our users’ habits. This helps us to measure the use of our Sites, improve the content, functionality and operation of our Sites and to better understand and serve our users.

Cookies are small data files that are created by your computer’s browser and stored on your computer’s hard drive when you visit a particular website. We may use cookies to deliver content specific to your interests and to otherwise specifically tailor your experience on our Sites.

Session cookies are used to store temporary data in memory which exists only for the duration of the user’s session. All information from them is removed completely whenever the session is finished. They are generally used to pass information from one Site to another. Teleflex uses session cookies to maintain an internal session identifier required by the underlying web technology, and to provide Site usage statistics.

Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies. In contrast to cookies, which are stored on your computer’s hard drive, clear GIFs are embedded invisibly on web pages. We may use clear GIFs (a.k.a. web beacons, web bugs or pixel tags), in connection with our Site to, among other things, track the activities of Site visitors, help us manage content, and compile statistics about Site usage. We and our third party service providers also use clear GIFs in HTML e-mails to our customers, to help us track e-mail response rates, identify when our e-mails are viewed, and track whether our e-mails are forwarded.

Currently, our systems do not recognize browser “do-not-track” requests. You may, however, disable certain tracking as discussed in this section (e.g., by disabling cookies); you also may opt-out of targeted advertising by following the instructions below.

We may use third party services such as Google Analytics to evaluate usage of our Site and our services. We also may use other analytic means to evaluate our Site and services. We use these tools to help us improve our Site’s and services’ performance and user experiences. These entities may use cookies and other tracking technologies, such as web beacons or local storage objects (LSOs), to perform their services in accordance with their own privacy policies. We and our third party service providers may use the information that we collect about you (whether directly from you from our website, through your device(s), or from a third party) to help us and our third party service providers identify other devices that you use (e.g., a mobile phone, tablet, other computer). We, and our third party service providers, also may use the cross-device and browser tracking and other information we learn about you to serve targeted advertising on your devices and to send you emails. To opt-out of cross-device and browser advertising, you may follow the instructions set forth below. Please note: if you opt out of these targeted advertising cookies, your opt-out will be specific to the web browser or mobile device from which you accessed the opt-out. We use third parties such as network advertisers to serve advertisements on our Site and on third-party websites or other media (e.g., social networking platforms). This enables us and these third parties to target advertisements to you for products and services in which you might be interested. Third-party ad network providers, advertisers, sponsors and/or traffic measurement services may use cookies, JavaScript, web beacons (including clear GIFs), and other tracking technologies to measure the effectiveness of their ads and to personalize advertising content to you. These third-party cookies and other technologies are governed by each third party’s specific privacy policy, not this one. We may provide these third-party advertisers with information, including personal data, about you.

Users in the United States may opt out of many third-party ad networks. For example, you may go to the Digital Advertising Alliance (“DAA”) Consumer Choice Page for information about opting out of interest-based advertising and your choices regarding having information used by DAA companies. 4. Special Categories of Personal Data

Unless we specifically request or invite it, we ask that you not send us or disclose to us any personal data considered to be “special” under certain countries’ laws. Special data includes information relating to an individual's physical or mental health, as well as biometric or genetic data.

Where, in relation to certain specific products and services, we do process any special categories of your personal data, we will do so on the basis of your explicit consent, which we will obtain from you via a separate consent form.

5. Disclosure of your Data

We may share the personal data we collect as described in this Privacy Notice to the following third parties or agents:

  • Our subsidiary companies, https://investors.teleflex.com (click on the link for Form 10k, Exhibit 21, under “SEC Filings”);
  • Service providers, who support us, including software service providers, shipping companies and call centers;
  • Third parties, including third party networks, advertisers and data analytics companies;
  • Legal advisors, for the purposes of seeking legal advice or defending a legal claim;
  • Auditors, for the purposes of complying with financial reporting requirements and other compliance purposes as necessary;
  • Consultants and other non-affiliated third parties we use to support our business, and the management of business relationships;
  • Our Internet Service Providers;
  • Regulatory agencies e.g. the U.S. Food and Drug Administration (FDA), European Medicines Agency (EMA)), Health Canada and Medical Technology Associations;
  • Third parties in connection with, including during negotiations of an acquisition, merger, divesture, restructuring, reorganization, dissolution or other sale or transfer of some or all of Teleflex and its affiliates' businesses, whether as a going concern or as part of a bankruptcy, liquidation or similar proceedings.

We and our service providers (including affiliates) may also disclose your personal data if we are under a duty to disclose or share your personal data in order to respond to a search warrant or other legally valid inquiry or order, comply with any legal obligation, or where necessary to protect the rights, property, or safety of Teleflex, our clients, or others. This includes exchanging information with other companies and organizations for the purposes of investigating a breach of an agreement or contravention of law, or detecting, suppressing or preventing fraud and reducing credit risk, or to the extent required or authorized by applicable U.S., EU, Canadian or other law or legal process. This may include lawful access by U.S., Canadian or foreign courts, law enforcement, regulators or other government authorities.

We take all reasonable steps, as required by law, to ensure the safety, privacy and integrity of such data and information and, where appropriate, enter into contracts with such third parties to protect the privacy and integrity of such data and any information supplied.

6. Objection to Processing

In some jurisdictions, applicable law may entitle you to require Teleflex not to process your personal data for certain specific purposes (including profiling) where such processing is based on an appropriate legal basis. If you object to such processing, Teleflex will no longer process your personal data for these purposes unless we can demonstrate compelling legitimate grounds for such processing or such processing is required for a legal purpose, including for the establishment, exercise or defense of legal claims.

Where your personal data is processed for direct marketing purposes, you may, at any time ask Teleflex to cease processing your data for these direct marketing purposes by opting out through the unsubscribe link in the email you received.

7. International Transfers

To facilitate our global operations, Teleflex may access, transfer, store, and otherwise process your information within our family of companies, partners, and service providers based in North, South, and Central America; Asia; Europe; the Middle East; and Africa. Laws in these countries may differ from the laws applicable to your country of residence. For example, information collected within the European Economic Area (EEA) or the UK may be transferred, stored, and processed outside of the EEA or the UK for the purposes described in this Privacy Notice. Where we transfer store, and otherwise process your personal data outside of the EEA or the UK, we have ensured that appropriate safeguards are in place to ensure an adequate level of data protection, such as putting in place standard contractual clauses approved by the European Commission or another relevant body, or another measure that has been approved as adducing adequate safeguards for the protection of personal information when transferred to a third country. You have a right to obtain details of the mechanism under which your personal information is transferred outside of the EEA or the UK; you may request such details by contacting us as set forth in the “Contact Us” section below

8. Your Rights under the General Data Protection Regulation (GDPR) and similar laws

If our use of your personal data is subject to the GDPR or similar laws, you may have a number of rights, including the right to request access to, rectification, or erasure of your personal data, or restriction of processing or object to processing of your personal data, as well as the right to data portability, in accordance with applicable laws. The following is a summary of what these rights involve:

  • The right of access enables you to receive a copy of your Personal Data.
  • The right to rectification enables you to correct any inaccurate or incomplete Personal Data.
  • The right to erasure enables you to ask us to delete your personal data in certain circumstances, for example where it is no longer necessary for us to process it or if you consider it is being unlawfully processed.
  • The right to restrict processing enables you to ask us to halt the processing of your personal data in certain circumstances, for example if you want us to verify its accuracy or our legitimate interests in processing it.
  • The right to object enables you to object to your personal data being processed on the basis of our legitimate interests (or those of a third party). We will stop such processing unless there are compelling legitimate grounds for the processing or the processing is necessary for the exercise or defense of legal claims. You also have the right to object to us processing your personal data for direct marketing purposes.
  • The right to data portability enables you to request us to transmit personal data, that you provided to us, to a third party without hindrance, or to give you a copy of it so that you can transmit it to a third party.

Please note that your ability to exercise certain rights (objection; portability) will depend on the basis on which your personal data is processed (see section 2 above), and the exercise of all rights may be subject to exemptions or restrictions under applicable law; we will advise you if we rely on these. Any requests to exercise your rights should be addressed to PrivacyOfficial@teleflex.com. We will respond to your request within a reasonable period of time. We may request proof of identification to verify your request. We have the right to refuse your request in some circumstances. You have the right to lodge a complaint with the Data Protection Authority, in particular in the Member State of your residence, place of work or place of an alleged infringement, if you consider that the processing of your Personal Data infringes the GDPR.

9. Data Retention

We will retain your personal data only for as long as necessary for the purposes set out herein, including providing access to our Sites and related services to you; for the performance of your or your employer's business relationship with Teleflex, or as otherwise required to meet legal or business requirements, and for the exercise or defense of legal claims. 10. Children

Teleflex does not intend to collect personal information from children. If your child has submitted personal data, and you would like to request that such information be removed from our system, please see the “Contact Us” section below to make such a request and we will use reasonable efforts to comply with your request.

11. California Privacy Rights

If you are a California resident, the California Consumer Privacy Act (CCPA) protects your right to know about, access, and delete certain personal data about you or your household (together “you”).

We collect or obtain the following categories of personal data about you. Please see How We Use and Share personal data for more information about why we collect the categories of information below.

Non-Personal Data Collected

Personal Data does not include:

  • Publicly available information from government records.
  • Deidentified or aggregated consumer information.
  • Information excluded from CCPA, such as :
    • Certain health and medical information covered by the Health Insurance Portability and Accountability Act of 1996 (HIPAA), Health Information Technology for Economic and Clinical Health Act, and the California Confidentiality of Medical Information Act (CMIA);
    • Information collected as part of a clinical trial subject to the Federal Policy for the Protection of Human Subjects, also known as the Common Rule; and
    • Certain personal information covered by the Fair Credit Reporting Act (FRCA), Gramm-Leach-Bliley Act (GLBA), California Financial Information Privacy Act (FIPA), or the Driver’s Privacy Protection Act of 1994.
Sources of Personal Data

We obtain the Personal Data listed above from the following categories of sources:

  • Directly from you. For example, from forms you complete or products and services you purchase.
  • Indirectly from you. For example, from observing your actions on our Sites using cookies.
  • From third-party service providers. For example, demographic data from a third-party service provider to use for marketing analytics.
How We Use and Share Personal Data

We may use or disclose collected personal data for one or more of the following business purposes:

  • To fulfill or meet the reason you provided the information. For example, if you share your name and contact information to request a price quote or ask a question about our products or services, we will use that personal data to respond to your inquiry. If you provide your personal data to purchase a product or service, we will use that information to process your payment and facilitate delivery. We may also save your information to facilitate new product orders or process returns.
  • To provide, support, personalize, and develop our Site(s), products, and services.
  • To create, maintain, customize, and secure your account with us.
  • To process your requests, purchases, transactions, and payments and prevent transactional fraud.
  • To provide you with support and to respond to your inquiries, including to investigate and address your concerns and monitor and improve our responses.
  • To enhance user experience while visiting the Site and to deliver content and product and service offerings relevant to user interests, including targeted offers and ads through our Sites, third party sites, and via email (with your consent, where required by law).
  • To help maintain the safety, security, and integrity of our Site(s), products and services, databases and other technology assets, and business.
  • For testing, research, analysis, and product development, including to develop and improve our Site(s), products, and services.
  • To respond to law enforcement requests and as required by applicable law, court order, or governmental regulations.

  • To evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Teleflex’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by Teleflex about our Site users is among the assets transferred.
Disclosures of Personal Data for a Business Purpose

In the preceding 12 months, we have disclosed the following categories of personal data to the third parties described above including advertising networks, internet service providers, data analytics providers, operating systems and platforms, and social networks for the business purposes described above:

Under applicable law, we are permitted to disclose personal data to service providers in accordance with written contracts requiring our service providers to keep the information confidential.

In addition to third parties, we may share the personal data we collect with government entities (if required by law or reasonably necessary to avoid harm).

Sales of Personal Data

Other than our advertising practices on our Site, our policy is that we do not and will not sell your personal data, unless you give us your consent or direct us to do so.

California Rights and Choices About Your Personal Data

If you are a California resident, you have the right to request that we disclose certain information to you about our collection and use of your personal data over the past 12 months. Once we receive and confirm your verifiable consumer request, we will disclose to you:

  • The categories of personal data we collected about you.
  • The categories of sources for the personal data we collected about you.
  • Our business or commercial purpose for collecting or selling that personal data.
  • The categories of third parties with whom we share that personal data.
  • The specific pieces of personal data we collected about you (also called a data portability request).
  • If we sold or disclosed your personal data for a business purpose, two separate lists disclosing:
    • sales, identifying the personal data categories that each category of recipient purchased; and
    • disclosures for a business purpose, identifying the personal data categories that each category of recipient obtained.
Deletion Request Rights

If you are a California resident, you have the right to request that we delete any of your personal data that we collected from you and retained, subject to certain exceptions. Once we receive and confirm your verifiable consumer request (see Exercising Access, Data Portability, and Deletion Rights), we will delete (and direct our service providers to delete) your personal data from our records, unless an exception applies.

We may deny your deletion request if retaining the personal data is necessary for us or our service provider(s) to:

  • Complete the transaction for which we collected the personal data, provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.
  • Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities.
  • Debug products to identify and repair errors that impair existing intended functionality.
  • Exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for by law.
  • Comply with the California Electronic Communications Privacy Act.
  • Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information’s deletion may likely render impossible or seriously impair the research’s achievement, if you previously provided informed consent.
  • Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.
  • Comply with a legal obligation.
  • Make other internal and lawful uses of that information that are compatible with the context in which you provided it.
Exercising Access, Data Portability, and Deletion Rights

To exercise the access, data portability, and deletion rights described above, please submit a verifiable consumer request to us by:

Only you, or a person that you authorize to act on your behalf, may make a verifiable consumer request related to your personal data.

You may only make a verifiable consumer request for access or data portability twice within a 12-month period. The verifiable consumer request must:

  • Provide sufficient information that allows us to reasonably verify you are the person about whom we collected personal data or an authorized representative.
  • Describe your request with sufficient detail that allows us to properly understand, evaluate, and respond to it.
  • We may not be able to respond to your request or provide you with personal data if we cannot verify your identity or authority to make the request and confirm the personal information relates to you.
  • Making a verifiable consumer request does not require you to create an account with us.
  • We will only use personal data provided in a verifiable consumer request to verify the requestor’s identity or authority to make the request. We verify requests by comparing information we have with information you provide or in some instances, you may be able to log into your account to verify your identity.
Non-Discrimination

We will not discriminate against you for exercising any of your California privacy rights under the CCPA. Unless permitted by the CCPA, we will not:

  • Deny you goods or services.
  • Charge you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties.
  • Provide you a different level or quality of goods or services.
  • Suggest that you may receive a different price or rate for goods or services or a different level or quality of goods or services.

12. Security

We have implemented reasonable administrative, technical and physical measures, and a variety of other security technologies and procedures to help protect your personal data from theft, loss and unauthorized access, use, modification and disclosure. 15. Republic of South Africa Privacy Rights

For certain processing activities conducted by Teleflex in the Republic of South Africa, the following provisions apply to such activities.

The definition of “Special” data is expanded to also include: criminal behavior relating to the alleged commission of any offence or any proceedings in respect of any offence allegedly committed by such individual or the disposal of such proceedings; and sexual orientation or sex life.

You have the right to request access to, rectification of, or object to processing of your Personal Data. The following is a summary of what these rights involve:

  • The right of access enables you to receive a copy of your Personal Data.
  • The right to rectification enables you to update and correct any inaccurate, misleading or incomplete Personal Data.
  • The right to object enables you to object to your Personal Data being processed on the basis of your legitimate interests, our legitimate interests (or those of a third party), or for the proper performance of a public law duty by a public officer. We will stop such processing unless there are compelling legitimate grounds for the processing or the processing is necessary for the exercise or defense of legal claims.
